Why Wyoming?

We can arrange for your U.S. incorporation in any state. That includes such popular jurisdictions as Nevada, Florida, and Delaware. But we have a strong preference for Wyoming, the state of our own incorporation. So why Wyoming?

It's quick, easy, and inexpensive to register either a corporation or LLC in Wyoming (Wyoming invented the concept of the limited liability company). Privacy protections are strong in that shareholders or members are not listed in publicly available documents. Annual taxes are limited to a very low two mill (.002) rate (with a $50 minimum) only on assets held in Wyoming. And best of all, there are no state business or personal income taxes.


In fact, the Tax Foundation year after year ranks Wyoming at or near the top of the list of the 50 states in its "State Business Tax Climate Index Rankings." Along with no state income tax, there no inventory, gross receipts, or franchise taxes, no onerous regulations, and no per capita or excise taxes. Sales, property, and inheritance taxes are relatively low.


Wyoming like no place on earth but a great place to incorporate or form your LLCAnd with a Wyoming entity, one person can fill all officer and director positions, single-member LLCs are allowed, you have the unlimited ability to issue stock, and stockholder or member meetings can be held anywhere in the world. You don't have to be a U.S. citizen or resident to incorporate or register an LLC in Wyoming. Privacy is valued, and protection of the corporate veil is strong. There is even a special category called the Closely Held Corporation which has simple operating guidelines and is ideally suited to smaller family-held businesses and single owners. And Wyoming, located in the Rocky Mountain West, really is like no (other) place on earth!


Unlike Nevada, no state income tax is being contemplated (Wyoming is actually running significant budget surpluses), and there is none of the stigma associated with Nevada incorporations that has attracted the attention of the IRS. Wyoming incorporations are much less expensive than Nevada ones (with their surprise post-incorporation fees). And it runs away from Delaware in terms of advantages of all types.
